GuardianSync Terms and Conditions

1. Introduction

These Terms and Conditions govern access to and use of the GuardianSync website, platform, accounts, helper profiles, verification features, access passes, communications and related services. GuardianSync is the trading name of Parademics Guardian Sync (Pty) Ltd, registration number 2025/544890/07, registered in South Africa.

These Terms form a binding agreement between GuardianSync and each person or entity that accesses or uses the Services. Please read them carefully together with our Privacy Policy.

2. Definitions

In these Terms, “Customer” or “Household” means a person or organisation seeking household support; “Helper” means an independent person offering services through a profile; “User” means any visitor, Customer, Helper or account holder; “Services” means the GuardianSync website, platform and related functionality; “Access Pass” means time-limited paid access to eligible contact information; and “Content” means text, images, documents, messages, profile information and other material submitted to or displayed through the Services.

3. Acceptance and changes

By creating an account, purchasing or activating a subscription or Access Pass, clicking an acceptance control, or continuing to use protected Services after receiving notice of updated Terms, you confirm that you have read and agree to these Terms and the Privacy Policy. If you do not agree, do not use the Services.

We may update these Terms where reasonably necessary. The current version and effective date will appear on this page. Material changes may require renewed acceptance before protected features can be used.

4. Eligibility and authority

You must be at least 18 years old and legally capable of entering into a binding agreement. If you use GuardianSync for a company, household or other person, you warrant that you have authority to bind that party and to provide any personal information submitted on its behalf.

5. Accounts and security

You must provide accurate, complete and current information, keep it updated, protect your password and device, and promptly notify us of suspected unauthorised access. You are responsible for activity performed through your account unless caused by GuardianSync’s breach of a legal duty. Accounts may not be sold, transferred or shared in a manner that undermines security or accountability.

6. GuardianSync’s role

GuardianSync provides technology that helps Customers discover and contact independent Helpers. Unless expressly stated in a separate written agreement, GuardianSync is not an employer, employment agency, labour broker, household-service provider, medical provider, emergency service, insurer or representative of a User. GuardianSync does not direct or control the manner in which a Helper performs privately arranged work.

8. Helper obligations

Helpers must submit truthful profile and verification information; offer only services they are competent and legally permitted to perform; keep availability, experience and contact information current; respect Customers, household members and property; comply with agreed duties and applicable law; protect confidential household information; and promptly disclose information that makes a representation materially inaccurate.

Helpers are responsible for their own tax, employment-status, permit, insurance and professional obligations arising from private arrangements.

9. Customer obligations

Customers must treat Helpers fairly and lawfully, describe work accurately, maintain a reasonably safe environment, agree duties and payment clearly, comply with labour, tax, immigration, health-and-safety and other applicable duties, and avoid discriminatory, abusive, exploitative or unlawful conduct. Customers remain responsible for selection, interviews, reference checks, supervision and private contracting decisions.

10. Verification

A verification badge means only that the stated GuardianSync review process was completed using information available at the time. It is not a guarantee of identity, qualifications, suitability, reliability, safety, performance or future conduct. Information may expire or change. GuardianSync may request updated documents, remove a badge or repeat a review where reasonably necessary.

11. Search, favourites and contact access

Search results depend on information supplied by Users and the platform’s filters. GuardianSync does not guarantee ranking, visibility, availability, geographic accuracy, responses or a successful match. Favourites are a convenience and do not reserve a Helper. Contact information may be restricted to eligible Users with an active Access Pass.

12. Access Passes

An Access Pass grants limited, personal, non-transferable access to eligible contact details for the stated period. It does not purchase Helper services, guarantee that any Helper will respond or be available, or guarantee a placement or employment outcome. Pass duration begins as described at checkout or activation and expires automatically.

13. Fees and payment

Prices, taxes, duration and material conditions will be displayed before purchase. You authorise the applicable payment provider to process the selected charge. Payment providers may apply their own terms. GuardianSync may correct an obvious pricing error before fulfilment and will provide an appropriate remedy where required by law.

14. Cancellations and refunds

Cancellation and refund rights depend on the nature of the Service, whether digital access has begun, the disclosed purchase conditions and mandatory consumer law. Except where required by law or expressly stated at checkout, an activated or partly used time-limited Access Pass is not refundable merely because a User changed their mind, a Helper did not respond, or no private arrangement resulted. Contact support promptly if a charge is duplicated, unauthorised or technically unsuccessful.

15. Private arrangements between Users

Any interview, trial, work arrangement, employment relationship, contractor relationship, schedule, remuneration, transport, accommodation or other agreement between Users is concluded directly between those Users. Users must record important terms in writing and obtain independent advice where appropriate. GuardianSync is not a party to, and does not enforce, private arrangements unless it expressly agrees otherwise in writing.

16. Acceptable use

You may not use the Services to break the law; deceive or impersonate; harass, exploit or discriminate; publish unlawful, defamatory or infringing Content; scrape, copy or resell data; bypass payment or access controls; introduce malware; probe security without written permission; interfere with the Services; collect information for unrelated marketing; or facilitate fraud, trafficking, abuse or other harm.

17. User Content

You retain ownership of Content you submit. You grant GuardianSync a non-exclusive, worldwide, royalty-free licence to host, reproduce, adapt for technical display, moderate and communicate that Content only as reasonably necessary to operate, secure, promote and improve the Services. You warrant that you have the rights and permissions required to submit the Content.

We may remove or restrict Content that appears unlawful, unsafe, misleading, infringing or inconsistent with these Terms, while respecting applicable law. We are not obliged to monitor every submission.

18. GuardianSync intellectual property

The GuardianSync name, logo, software, design, databases, text and other platform materials are owned by or licensed to GuardianSync and protected by applicable law. Except for ordinary personal use of the Services, no right is granted to reproduce, modify, distribute, reverse engineer, frame, scrape or commercially exploit them without written permission.

19. Privacy and data protection

Our Privacy Policy explains how personal information is processed under POPIA. Users must respect the privacy of others and may use contact details obtained through GuardianSync only for genuine household-service enquiries and related lawful purposes.

20. Third-party services and links

The Services may depend on payment, hosting, communications, mapping, analytics, identity or other third-party providers. Their terms and privacy practices may apply. GuardianSync is not responsible for an independent third party’s service, content or availability, but this does not limit any responsibility GuardianSync cannot lawfully exclude.

21. Availability and changes to Services

We aim to provide reliable Services but do not guarantee uninterrupted or error-free availability. Maintenance, security events, connectivity, supplier failures or circumstances beyond reasonable control may cause interruptions. We may modify or discontinue features, giving reasonable notice where a change materially affects a paid Service and notice is practicable.

22. Suspension and termination

We may restrict or terminate access where reasonably necessary to protect Users or the platform, investigate suspected misconduct, comply with law, address non-payment or enforce these Terms. Where appropriate, we will give notice and a reasonable opportunity to respond. You may stop using the Services and request account closure, subject to lawful retention and outstanding obligations.

23. Complaints and disputes between Users

Users should first communicate respectfully and preserve relevant records. GuardianSync may receive complaints, request information, moderate Content or restrict an account, but is not a court, arbitrator or guarantor and does not determine private employment or payment disputes. Serious crime, abuse or immediate safety concerns should be reported to the appropriate authorities.

24. Disclaimers

To the extent permitted by law, the Services and User Content are provided on an “as available” basis. Information supplied by Users may be incomplete, inaccurate or outdated. GuardianSync does not warrant a particular result, uninterrupted availability, the suitability of any User, or that every risk will be detected through verification or moderation.

27. Consumer protection and non-excludable rights

Nothing in these Terms is intended to waive or limit rights or remedies that cannot lawfully be waived or limited under the Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002, POPIA or other applicable law. If a provision conflicts with a mandatory right, it applies only to the maximum extent lawfully permitted.

28. General terms

Notices

We may send notices to the email address associated with your account or display them through the Services. You must keep contact details current.

Assignment

You may not transfer this agreement without our written consent. GuardianSync may transfer it as part of a lawful restructuring, financing or sale, provided your rights are not materially reduced.

Severability and waiver

If a provision is unenforceable, it will be limited or severed to the minimum extent necessary and the remainder continues. A delay in enforcing a right is not a waiver.

Entire agreement

These Terms, the Privacy Policy and any specific purchase or service terms presented to you form the agreement concerning the Services and replace prior discussions about the same subject.

29. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Subject to applicable consumer rights and any agreed dispute process, South African courts with jurisdiction may hear disputes. Before litigation, the parties should attempt in good faith to resolve the matter through written notice and reasonable discussion.
